1. Investment Objective
The Investment Objective of this Investment Compartment is to earn income from the provision of Loans to investors and any other third party, at the request of the Investors using as collateral the shares of the Investor held in the Company.
2. Investment Strategy and Policies
The investment strategy of this Investment Compartment is to provide Loans to Investors or to any other third party, at the request of the Investors
The Investment Compartment will secure its exposure in respect of the Loans granted by pledging all the shares of the Investor held in the Company, provided always that the Loan amount will be lower than the value of the shares pledged.
In case of default in the loan’s repayment, the Investment Compartment will have the absolute right to recover the equal amount of its loss suffered by redeeming of the respective shares required, basing its calculations on the Net Present Value of the shares.
The benefit of the Investment Compartment will be the interest to be charged in the Loan Agreements. The Directors are responsible for the formulation of the Compartment’s investment objective and policy. The present investment objectives and policy may be amended from time to time by the Directors, if and as they shall deem it to be in the best interests of the Company to do so and in light of political and / or economic conditions. Any changes to the investment objective and/or policy will need to be notified and approved by the Cyprus Securities & Exchange Commission, and if substantial will require the consent of existing Participating Shareholders.
3. Methodology / Investment Process
This Investment Compartment will provide Investors the right to pledge the shares subscribed to them by the Company as security for Loans to be extended by the Company to the Investors themselves or to any other third party at the request of the Investors.
4. Banking Institution
The Company intends to collaborate with various Banking Institutions, mainly in Europe, for the implementation of the Investment policy of this Compartment.
