1. Investment Objective:
The Investment strategy of this Compartment is to earn income by providing General Liens over funds deposited in the bank account of the Company in favour of Banking Institutions for the purpose of securing loans to the Investors of the Company by the respective Banking Institution(s) or to other third parties, while the exposure of the Company shall be covered by pledging all the shares issued to the Investors/s by the Company.
2. Investment Strategy
The Investment strategy of this Compartment is to provide General Liens over funds deposited in the bank account of the Company in favour of Banking Institutions for the purpose of securing loans to be granted by the said Banking Institutions either to Investors of the Company or to other third parties, at the request of the Investors.
The Company will secure its exposure through General Liens, which will guarantee the loans to be granted to Investors or other third parties by the Banking Institutions, by the pledging of all the shares issued to the Investor/s , provided that the value of the shares pledged will be always higher than the amount of the General Lien . In the event of default in the repayment of the loans, resulting to a loss to the Company, the Company will have the absolute right to redeem those Investors shares required to cover the loss incurred by the Company, based on the Net Present Value of the shares.
The benefit of the Company will be a fee of between 2-3 % depending on the amount of the liened funds, which will be charged to the Investors.
In addition, the Company will earn interest from the Banking Institutions for the funds deposited.
The Directors are responsible for the formulation of the Compartment’s investment objective and policy. The present investment objectives and policy may be amended from time to time by the Directors, if and as they shall deem it to be in the best interests of the Company to do so and in light of political and / or economic conditions. Any changes to the investment objective and/or policy will need to be notified and approved by the Cyprus Securities & Exchange Commission, and if substantial will require the consent of existing Participating Shareholders.
3. Methodology / Investment Process
This Investment Compartment will provide Investors the right to use their subscription in the Company, through the pledging of shares issued in their name, as security for securing loans to be granted to the Investors themselves or to other third parties, by various Banking Institutions
4. Banking Institution
The Company intends to collaborate with various Banking Institutions, mainly in Europe, for the implementation of the Investment policy of this Compartment.
